Powering the Future: Hogan Lovells advises terralayr on a €60 million BESS portfolio financing in Germany

Led by partner Dr. Carla Luh, global law firm Hogan Lovells has advised terralayr, a leading energy flexibility company, on the successful financial close of a €60 million senior secured debt financing for a portfolio of battery energy storage system (BESS) projects in Germany, marking terralayr’s largest debt financing to date.

The facility was provided by ABN AMRO and Commerzbank, acting as Mandated Lead Arrangers and Original Lenders. The debt financing is structured as a seven-year mini-perm and includes a €49 million senior secured term loan facility, €11 million of additional senior secured facilities, and a €100 million accordion facility to expand the portfolio, further supporting terralayr's growth. The portfolio comprises nine front-of-the-meter BESS projects with a total capacity of 112 MW / 238 MWh. Eight projects are currently under construction, one is already operational.

Hogan Lovells provided comprehensive legal advice to terralayr throughout the transaction, including structuring the financing and negotiating the facility agreements. The team's expertise in energy infrastructure and complex cross-border financing contributed significantly to the successful financial closing and ensured that all aspects of this innovative transaction were implemented.
