Hogan Lovells advises Snam on €500 million convertible green bond and concurrent liability management transaction

Press releases | 27 January 2026

Global law firm Hogan Lovells has advised Snam on the placement of a €500 million green bond, convertible into existing ordinary shares of Italgas and maturing in 2031. The transaction also included the concurrent repurchase of outstanding bonds, which are convertible into existing ordinary shares of Italgas and mature in 2028.

The issuer will use the proceeds from the placement of the convertible green bond to partially or fully finance so-called Eligible Projects (as defined in the issuer’s Green Financing Sustainable Finance Framework available on its website), both existing and/or future.

The Hogan Lovells team that advises on the transaction was led by partner Alessandro Accrocca, supported by associates Edoardo Minnetti and Noemi Biagini, and trainee Riccardo Del Torto.
