Sean brings a practical perspective shaped by his judicial clerkship with the Honorable Chancellor Kathaleen St. J. McCormick of the Delaware Court of Chancery and his time litigating corporate disputes at a prominent Delaware law firm. Drawing on that background, he helps clients evaluate deal terms through the lens of how courts assess governance, conflicts, and economic outcomes.
His work spans the full investment lifecycle—from diligencing fund sponsors and secondary transactions to advising on governance issues within fund structures and portfolio‑level arrangements. Clients rely on his ability to translate litigation lessons into clear, business‑focused guidance that reduces risk without slowing decision‑making.
Sean is active in the Virginia Bar Association’s Business Law Section. He joined the Section Council in 2024 and was elected Vice Chair in 2026.
He also contributes to the broader legal community through writing and teaching. Sean delivered a Continuing Legal Education program on the 2025 legislative updates to Delaware law under Senate Bill 21 and has lectured on business law topics at George Mason University’s Antonin Scalia Law School and the Georgetown Law Center. He has spoken on panels addressing LLC operating agreement drafting considerations for Virginia and Delaware entities and on the evolving landscape of Delaware corporate law.
In law school, Sean interned in the U.S. Securities and Exchange Commission’s Division of Corporation Finance and served as a notes editor for the Journal of Law, Economics & Policy, strengthening the analytical and writing skills he brings to his work today.
