David Toy is a veteran deal lawyer, with expertise in technology, intellectual property, and commercial issues. Dave brings a pragmatic approach to getting deals done and in effectively communicating to clients risks at any stage of a negotiation.

Dave's practice uniquely combines deep transactional experience with a strong foundation in technology and intellectual property matters. In addition, he has broad experience with general commercial transactions. Whether leading deals or focusing on technology, IP, or commercial issues in a larger project, Dave excels at delivering practical solutions tailored to client needs.

Dave's extensive experience negotiating deals (from both buyer and vendor perspectives, domestically and internationally, and with clients ranging from start-ups to Fortune 100 companies) allows him to offer a range of negotiating positions and counterproposals. He has an industry "agnostic" practice, with extensive work in technology, sports, media & entertainment, health care, food & beverage, telecommunications, and energy sectors, among other industries. He can advise on what positions are "market" and develop resolutions to fit specific client needs.

Dave is a thought leader in artificial intelligence (AI) and machine learning modeling (MLM) and actively monitors and engages in shaping market responses to emerging AI issues, including how AI issues are addressed in deals, including in from a development perspective and licensing perspective.

Dave is the head of the Intellectual Property, Media & Technology group in our Denver office. He is a leader in our Sports, Media & Entertainment sector and works daily in our Technology sector. Dave also serves as the U.S. lead of our gaming practice.

Dave has a demonstrated commitment to the local start-up and entrepreneurial community. For two decades, he's been a clinical adviser to the Entrepreneurial Law Clinic at the CU Law School and assists law students who represent start-up companies.

Represented the commercial procurement group of a Fortune 100 company in hundreds of multimillion-dollar domestic and international transactions.

Represented leading articficial intelligence (AI) capacity provider in US$50b purchase of processing technology.

Represented JV among three major streaming providers in technology and content development and cross-licensing.

Outside general counsel to a data licensor responsible for hundreds of domestic and international transactions.

Represented developer of an artificial intelligence (AI) and machine learning modeling (MLM) system for use by a healthcare network and designed to leverage deep learning from videos to analyze data.

Represented a joint venture among three leading theater chains in US$1bn rollout of digital cinema network across 14,000+ screens in North America.

Represented a Fortune 100 company in a US$1bn global telecommunication re-evaluation and consolidation project.

Represented a leading outsourced services provider in multiple US$500m+ outsourcing transactions.
